These Terms and Conditions (“Terms”) constitute a legally binding contract between you (“Client,” “User,” or “you”) and GHEXAM Global Solutions (“GHEXAM,” “we,” “us,” or “our”) governing your access to and use of our website, exam preparation courses, study materials, and visa/migration consulting services (collectively, the “Service”). By enrolling in a course, submitting documents for review, or otherwise utilizing any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to all of these Terms, you are prohibited from using the Service.

1. Nature of Service and Limitation of Guarantee

A. Educational Services: GHEXAM provides preparatory materials, tutoring, and consulting services to assist individuals in preparing for professional licensing examinations (e.g., CBT, NCLEX, Prometric). We provide resources and guidance to increase the likelihood of success but do not guarantee a passing score on any examination. The final outcome rests solely on the Client’s preparation effort and performance.
B. Visa and Migration Consulting: We provide professional advice, document compilation, and submission assistance for credential evaluation and visa applications. We employ licensed and experienced consultants; however, we do not guarantee the issuance of a visa, professional license, or a successful outcome from any government or regulatory body (e.g., UKVI, NMC, CGFNS). Visa and licensing decisions are made solely by the respective external authorities based on their independent criteria. The fee paid to GHEXAM covers the provision of advisory and administrative services, not the final result of the application.
C. Client Responsibility: The Client is solely responsible for providing true, accurate, complete, and verifiable documentation, including all transcripts, employment letters, and financial records. Submission of false or misleading documents is grounds for immediate termination of the Service without refund, and GHEXAM is legally obligated to report suspected fraud to relevant authorities.

2. Financial Terms, Fees, and Refund Policy

A. Service Fees: All fees for courses and consulting services are clearly specified at the time of purchase or engagement. Fees are subject to change without notice, but changes will not affect services already paid for.
B. Non-Refundable Components: All application fees, government charges, courier charges, and third-party credentialing fees paid on behalf of the Client are strictly non-refundable by GHEXAM. Consulting fees are earned upon commencement of the service, particularly upon initial document review or submission of an application to a third party.
C. Refund Policy for Courses: Refunds for exam preparation courses are subject to a detailed policy provided at the time of enrollment. Generally, a partial refund may be issued only if the request is made within a specified cancellation window (e.g., 7 days) and before a substantial portion (e.g., 20%) of the online material has been accessed, or before attending the majority of in-person classes. After the stated cancellation period, all course fees are non-refundable.
D. Refund Policy for Consulting: Consulting fees for visa and credentialing services are non-refundable once the work has begun, which includes the initial comprehensive document checklist creation, personalized migration strategy session, or the commencement of document translation/verification procedures. Termination of the service by the Client due to visa refusal or change of mind does not warrant a refund.

3. Intellectual Property and Limited License

A. Ownership: All content provided as part of the Service, including course lectures, practice exam questions, study guides, presentation slides, visa checklists, and proprietary methodologies, is the exclusive property of GHEXAM Global Solutions and is protected by copyright and intellectual property laws.
B. License: You are granted a limited, non-exclusive, non-transferable license to access and use the educational content solely for your personal, non-commercial exam preparation.
C. Prohibited Use: You may not reproduce, redistribute, sell, modify, publicly display, or create derivative works of the Service content. This includes sharing your LMS login credentials, photographing exam questions, or disseminating our proprietary visa document checklists to unauthorized individuals or competitors. Any violation will result in immediate termination of the Service without refund and may lead to legal action for damages.

4. Limitation of Liability and Indemnification

TO THE FULLEST EXTENT PERMISSIBLE BY APPLICABLE LAW, GHEXAM, ITS DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING, BUT NOT LIMITED TO, LOST PROFITS, LOST DATA, OR VISA REFUSAL, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. You agree to indemnify, defend, and hold harmless GHEXAM from any claims, liabilities, costs, and expenses arising from your misuse of the Service or your breach of these Terms.

5. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana. Any dispute, controversy, or claim arising out of or relating to this contract, or the breach, termination, or invalidity thereof, shall be finally settled by arbitration administered in Accra, Ghana.
